Terms of Service / Public Offer

1. General provisions
This document is a public offer ("Offer") from KVANT Studio ("Contractor", "we") to any legal entity, individual entrepreneur, or adult individual ("Client", "you") for the provision of custom software development services.
Acceptance of this Offer takes place when the Client transfers a prepayment for services in accordance with an invoice issued by the Contractor, or when the parties sign a separate written agreement referencing this Offer.
2. Services offered
We provide the following categories of services:
- Custom CRM system development
- Web platform and website development
- Web scraping and data engineering
- Telegram bot development and automation
- DevOps and server infrastructure setup
- Business process automation and API integrations
- Maintenance, support, and consulting on existing systems
3. How engagement works
- Client submits a project request via the website form, email, or Telegram bot
- Contractor reviews requirements and responds within 2 business hours (10:00–22:00 MSK, UTC+3) with a preliminary estimate
- Parties agree on scope, timeline, budget, and milestones in a written technical specification
- Contractor issues an invoice for the first milestone (typically 30% of total)
- Upon payment, development begins. Weekly demos keep the Client informed
- Milestone deliverables are reviewed and accepted by the Client
- Final payment is made upon delivery and acceptance of the production release
4. Pricing and payment
Prices are quoted individually for each project based on the technical specification. General ranges are published on the main page and service pages for reference only and are not a binding offer.
Standard payment schedule: 30% upfront (project kickoff), 30% on MVP delivery, 40% on production release.
Payment is accepted by bank wire in Russian rubles (RUB) or in US dollars (USD) for international clients. We work with both individual entrepreneurs (IP) and companies, and provide closing documents required for bookkeeping.
USD prices referenced on the website are indicative and settled at the current exchange rate at invoice date.
5. Timelines
Typical delivery windows:
- MVP — 2–4 weeks from project kickoff
- Production release — 4–12 weeks from project kickoff
- Rush projects with priority — +40% surcharge, up to 1 month
Final timelines are fixed in the technical specification after requirements analysis.
6. Deliverables and intellectual property
Upon full payment, the Client receives:
- Source code of the developed software
- Deployment instructions and runbooks
- Exclusive rights to use the delivered code for the Client's business purposes
The Contractor retains the right to reuse generic libraries, frameworks, utilities, and techniques developed internally that are not specific to the Client's business logic. The Contractor may reference the project (name, industry, high-level description, screenshots) in portfolio and marketing materials unless an NDA says otherwise.
7. Confidentiality (NDA)
Confidentiality is part of our culture. We sign NDAs on request — 82 of our 86 projects are under NDA. Client materials shared during the project are treated as confidential, never used for competing projects, and never disclosed to third parties.
8. Warranty and support
We provide a 90-day free warranty after production release, covering defects in the delivered code. Long-term support (bug fixes, minor improvements, monitoring) is negotiated as a separate monthly retainer.
Warranty does not cover: (a) defects caused by changes made by the Client or third parties to the delivered code without Contractor's consent; (b) failures caused by infrastructure outside Contractor's responsibility; (c) feature requests outside the original specification.
9. Liability
Contractor's total liability under any project is limited to the total amount paid by the Client for that specific project. We are not liable for lost profits, indirect or consequential damages. We are not liable for damages caused by force majeure, third-party services, or Client-side changes.
10. Changes and cancellation
Scope changes are handled via written change requests. Each change may affect timeline and price — the parties agree on adjustments before implementation.
Either party may terminate the engagement with written notice. In case of termination, the Client pays for all work completed up to the termination date. Prepayments for work not yet performed are refunded, less any direct expenses already incurred.
11. Force majeure
Neither party is liable for delays caused by circumstances beyond reasonable control: natural disasters, war, civil unrest, government actions, major infrastructure outages, pandemics.
12. Governing law and disputes
This Offer is governed by the laws of the Russian Federation. Disputes are resolved through negotiations; if unresolved within 30 days, they are submitted to the competent court at the Contractor's registered location.
International clients may negotiate alternative dispute resolution (international arbitration) in a separate written agreement.
13. Data protection
We process personal data in accordance with our Privacy Policy and applicable Russian law. Client's business data shared during the project is treated as confidential per Section 7.
14. Changes to this Offer
We may update this Offer. The "Last updated" date reflects the latest revision. The version in effect on the date of the Client's acceptance continues to apply to that specific engagement.
